Terms of Service

1. Introduction and Acceptance of Terms

Welcome to Retiplex ("Service", "Platform", "we", "us", or "our"), an AI-powered video advertisement creation platform operated by Retiplex, based in the Czech Republic.

By accessing or using the Service at app.retiplex.com, creating an account, or purchasing a subscription, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Definitions

• Service — The Retiplex platform, including the web application at app.retiplex.com and all related features, tools, and APIs.
• User — Any individual or entity that creates an account or uses the Service.
• Content — Any video advertisements, scripts, voiceovers, images, or other materials generated through the Service.
• User Content — Any product images, descriptions, logos, or other materials uploaded by the User to the Service.
• Credits — The unit of currency within the Service used to perform content generation operations.
• Subscription Credits — Credits allocated monthly as part of a subscription plan, which reset each billing cycle.
• Extra Credits — Credits purchased separately as one-time top-ups, which do not expire.
• Subscription — A recurring monthly plan that grants access to the Service and a monthly allocation of Credits.
• Merchant of Record — Polar Inc., the third-party entity that processes all payments on behalf of Retiplex.

3. Account Registration

To use the Service, you must create an account using a valid email address and password, or by authenticating through Google OAuth. You are responsible for:

• Providing accurate and complete registration information.
• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.

You must notify us immediately at support@retiplex.com if you suspect unauthorized access to your account. Retiplex is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Billing

4.1 Subscription Plans

The Service is offered through the following subscription plans, each billed on a monthly recurring basis:

• Starter — $49 per month, includes 5,000 Subscription Credits per billing cycle.
• Professional — $129 per month, includes 15,000 Subscription Credits per billing cycle.
• Enterprise — Custom pricing with unlimited Credits and additional features. Contact team@retiplex.com for details.

Retiplex reserves the right to modify pricing and plan features at any time. Any changes will take effect at the start of the next billing cycle following notice to affected Users.

4.2 Payment Processing

All payments are processed by Polar Inc., which acts as the Merchant of Record for all transactions. By subscribing to the Service, you agree to Polar Inc.'s terms of service and payment processing policies. Retiplex does not directly store or process your payment card information.

4.3 Billing Cycle

Subscriptions are billed monthly on a recurring basis starting from the date of your initial subscription. Your subscription will automatically renew at the end of each billing cycle unless cancelled in accordance with Section 7 of these Terms.

5. Credit System

5.1 Subscription Credits

Each subscription plan includes a monthly allocation of Subscription Credits. These Credits are provided at the start of each billing cycle and are valid only for that billing cycle. Unused Subscription Credits do not roll over to the next billing cycle and are forfeited upon renewal.

5.2 Extra Credits

Users may purchase additional Credits ("Extra Credits") as one-time top-up purchases. Extra Credits do not expire and roll over indefinitely as long as your account remains active. When using Credits, the system will consume Subscription Credits before Extra Credits.

5.3 Credit Deduction

Credits are deducted upon completion of a content generation operation. The number of Credits consumed varies depending on the type and complexity of the operation (e.g., script generation, video scene generation, voiceover creation, final rendering). By initiating a generation request, you acknowledge that Credits will be deducted from your balance based on the resources consumed.

5.4 Active Subscription Required

You must have an active subscription to use Credits for content generation. Credits, including Extra Credits, cannot be used without an active subscription. If your subscription expires or is cancelled, any remaining Extra Credits will be retained on your account but cannot be used until a subscription is reactivated.

5.5 Credit Availability

You must have sufficient Credits in your account to initiate a content generation request. If your Credit balance is insufficient, the request will not be processed. Credits are non-transferable between accounts.

6. Subscription Changes

6.1 Upgrades

You may upgrade your subscription plan at any time. Upgrades take effect immediately. You will be charged a prorated amount for the difference between your current plan and the upgraded plan for the remainder of the current billing cycle. The difference in Credit allocation between plans will be added to your account immediately.

6.2 Downgrades

You may downgrade your subscription plan at any time. Downgrades take effect at the end of the current billing cycle. You will retain access to all features and Credit allocations of your current plan until the renewal date, at which point the downgraded plan will take effect.

7. Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing cycle.
• You will retain full access to the Service and may continue to use your remaining Credits until the end of the billing period.
• At the end of the billing cycle, your subscription will be terminated and you will lose access to the Service's content generation features.
• No partial refunds will be issued for the unused portion of the current billing cycle.

You may reactivate a cancelled subscription at any time before the end of the current billing period.

8. Refund Policy

Retiplex provides a subscription-based service. Refunds are available only under the following conditions:

• The subscription was started by mistake or unintentionally; and
• No Credits have been utilized for content generation since the subscription was started or renewed.

Retiplex does not offer refunds on active subscriptions mid-cycle or after Credits have been consumed for content generation.

Refund requests must be submitted to support@retiplex.com within 7 days of the charge in question. Approved refunds will be processed through the original payment method via Polar Inc.

Extra Credit purchases are non-refundable once the Credits have been added to your account.

9. AI-Generated Content Disclaimer

The Service uses artificial intelligence technologies to generate video advertisements, scripts, voiceovers, and other content. By using the Service, you acknowledge and agree that:

• AI-generated content is not guaranteed to look 100% realistic. Video advertisements, particularly those featuring AI actors, may contain visual imperfections, artifacts, or unrealistic elements.
• The quality and realism of generated content may vary depending on input materials, selected options, and the inherent limitations of current AI technology.
• Retiplex does not guarantee any specific business outcomes, conversion rates, engagement metrics, or advertising performance resulting from the use of generated content.
• You are solely responsible for reviewing all generated content before publishing, distributing, or using it in any advertising campaign or other context.
• You are responsible for ensuring that generated content complies with the advertising standards, regulations, and platform policies applicable to your use case and jurisdiction.

10. Content Ownership and License

10.1 Your Generated Content

You retain full ownership of all Content generated through the Service using your account and Credits. You are free to use, modify, distribute, and commercially exploit your generated Content without restriction, subject to applicable laws and the rights of third parties.

10.2 Your Uploaded Content

You retain ownership of all User Content (product images, descriptions, and other materials) that you upload to the Service. By uploading User Content, you grant Retiplex a limited, non-exclusive license to use, process, and store such content solely for the purpose of providing and operating the Service on your behalf.

10.3 Retiplex's Rights

Retiplex does not claim ownership of your Content or User Content. Retiplex will not use your Content for marketing, training, or any purpose other than providing the Service to you, unless you provide explicit written consent.

11. User Responsibilities and Acceptable Use

You agree not to use the Service to:

• Create content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Create misleading or deceptive advertising content that violates applicable consumer protection or advertising laws.
• Upload User Content that infringes on the intellectual property rights, privacy rights, or other rights of any third party.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service or its underlying technology.
• Use automated systems, bots, or scripts to access or interact with the Service beyond its intended use.
• Resell, sublicense, or redistribute access to the Service or Credits without prior written consent from Retiplex.
• Interfere with or disrupt the integrity or performance of the Service.

Violation of these acceptable use policies may result in immediate suspension or termination of your account without refund.

12. Intellectual Property

The Service, including its design, software, algorithms, user interface, branding, logos, and documentation, is the property of Retiplex and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

13. Third-Party Services

The Service relies on third-party providers for payment processing, AI content generation, hosting, and other functionality. Retiplex is not responsible for the availability, performance, or policies of these third-party services. Temporary service interruptions or degraded quality caused by third-party provider issues do not entitle you to a refund or Credit reimbursement.

14. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Retiplex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
• Retiplex's total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the total amount you have paid to Retiplex in the twelve (12) months preceding the event giving rise to the claim.
• Retiplex is not liable for any damages or losses resulting from the use, publication, or distribution of AI-generated content, including any claims by third parties.

15. Indemnification

You agree to indemnify, defend, and hold harmless Retiplex and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your generated Content and its use in advertising or other contexts.

16. Termination

Retiplex reserves the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that Retiplex determines, in its sole discretion, violates these Terms or is harmful to other users, the Service, or third parties. Upon termination for cause, you forfeit any remaining Credits and are not entitled to a refund.

You may terminate your account at any time by cancelling your subscription and ceasing use of the Service. The cancellation terms in Section 7 apply.

17. Dispute Resolution

17.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The seat of arbitration shall be Prague, Czech Republic. The language of the arbitration shall be English. The arbitration shall be conducted by a single arbitrator.

17.2 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between Retiplex and you individually. You waive any right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding.

17.3 Costs

Each party shall bear its own costs and expenses in connection with the arbitration, unless the arbitrator determines otherwise.

17.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions. Where binding arbitration does not apply, the courts of the Czech Republic shall have exclusive jurisdiction.

19. Changes to These Terms

Retiplex reserves the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service. Your continued use of the Service after such notification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely achieves the intent of the original provision.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Retiplex regarding your use of the Service and supersede all prior agreements and understandings, whether written or oral.
